1. Scope and Interpretation

1.1. This Schedule 1 ("Token Policy") supplements and forms part of the Adema Terms of Service ("Terms"). It governs the purchase, allocation, consumption, validity, forfeiture, and refund of Tokens.

1.2. Capitalised terms not defined in this Schedule have the meanings given in the Terms.

1.3. In the event of conflict between this Schedule and the Terms, the Terms prevail unless this Schedule expressly states otherwise.

1.4. References to "clause" are to clauses of this Schedule unless stated otherwise. References to Terms clauses are prefixed "ToS" (e.g., "ToS clause 8").

2. Nature of Tokens

2.1. Tokens are prepaid, non-transferable, non-resalable digital usage credits redeemable solely within the Adema Platform for specified Services.

2.2. Tokens are not: currency, money, e-money, securities, investment products, gift cards, vouchers with a fixed monetary denomination, stored-value instruments, or cryptocurrency. Tokens have no value or utility outside the Platform.

2.3. Tokens may not be exchanged, bartered, gifted, traded, sold, or transferred between accounts or to third parties, except where a transfer mechanism is expressly provided by Adema (e.g., team/organisational pools under an Order Form).

2.4. Tokens cannot be redeemed for cash, except where a refund is legally required (see clause 9) or under ToS clause 9 (consumer cooling-off).

3. Token Categories

3.1 Adema issues two categories of Token:

3.2. Promotional Tokens are clearly labelled at issue and within the Token Ledger. Where not labelled, Tokens are treated as Paid Tokens.

3.3. Each Token bundle or allocation is recorded in the Token Ledger with: date, quantity, category (Paid/Promotional), source, unit price or value, and any validity period.

4. Purchasing Tokens

4.1. Tokens may be purchased: (a) as standalone bundles via the Platform; (b) as part of a Subscription Plan (bundled allowance); or (c) under an Order Form (enterprise pricing).

4.2. All Token purchases are subject to the payment, tax, and billing provisions of ToS clauses 7.1-7.4.

4.3. On successful payment, Tokens are credited to the User's account and recorded in the Token Ledger.

4.4. Adema may offer bulk discounts, promotional pricing, or enterprise rates. Unless specified in an Order Form, Adema may set minimum and maximum purchase quantities.

5. Token Validity and the 10-Year Protection

5.1 Paid Tokens: no time-based expiry

Paid Tokens do not expire by the passage of time. There is no use-it-or-lose-it deadline.

5.2 The 10-year protection

If Adema ever introduces a time-based expiry for Paid Tokens:

(a) Paid Tokens already purchased before the change remain valid for at least ten (10) years from date of purchase;
(b) not less than six (6) months' prior written notice will be given; and
(c) the change applies only to Tokens purchased after the effective date.

5.3 Promotional Token validity

Promotional Tokens may have a shorter validity period disclosed at issue. Expired Promotional Tokens are forfeited. Adema will, where feasible, notify Users before expiry.

5.4 Account dormancy

If an account is inactive for 24+ consecutive months and the User does not respond to two reactivation notices (30 days apart), Adema may, after a final 60-day notice, close the account. The User will be given the opportunity to use or request a refund of remaining Paid Tokens (where legally required). Promotional Tokens are forfeited on closure.

6. Token Consumption Rules

6.1 Consumption trigger

Tokens are consumed at processing start and/or progressively during processing, as displayed in-product. Tokens are not consumed at download unless expressly stated.

6.2 Pre-execution confirmation

Before any Token-consuming action, the Platform displays: (a) a fixed Token cost; or (b) an estimated range plus maximum cap. Execution requires the User's affirmative confirmation.

6.3 FIFO consumption order

Tokens are consumed in this order:

(d) Promotional Tokens (oldest first, by issue date); then
(e) Paid Tokens (oldest first, by purchase/issue date).

This ensures Promotional Tokens (which may expire) are used before Paid Tokens (which do not).

6.4 Fractional and Micro-Usage charging

6.4.1. Tokens may be consumed in fractional increments. Minimum deductible: 0.01 Tokens.

6.4.2. Fractional balances are maintained to two decimal places.

6.4.3. Rounding rules and minimum thresholds are disclosed on the Pricing page and/or in-product before execution.

6.5 Metered Services

6.5.1. Metered Services may charge based on computational time, data volume, AI model input/output metrics, or similar measures.

6.5.2. Before initiating a Metered Service, the Platform displays a fixed cost or estimated range with maximum cap.

6.5.3. Where progressive deduction is used, a running usage indicator or post-execution receipt is provided where feasible.

6.5.4. Where feasible, Users may set a custom maximum cap before initiating a Metered Service.

6.6 Pricing snapshots

A pricing snapshot is recorded in the Token Ledger for each action, capturing: feature invoked, cost/range displayed, actual Tokens deducted, timestamp, and pricing model version.

6.7 Irreversibility

Once consumed, Tokens cannot be reinstated except: (a) where required by mandatory law; (b) proven system malfunction verified via the Token Ledger; or (c) discretionary goodwill credit by Adema.

8. Pricing Transparency and Disclosure

8.1 Three-level disclosure

8.2 Price changes

Adema may change Token consumption rates on 30 days' prior written notice (ToS clause 7.5). The rate confirmed before execution governs that execution. A pricing snapshot is recorded.

8.3 New features

New Token-consuming features are priced on the Pricing page and in-product before first use. Adding a new feature does not constitute a price change requiring 30 days' notice.

9. Refunds and Cooling-Off

9.1 Consumer cooling-off

Consumer refund rights during the Cooling-Off Period are governed by ToS clause 9. In summary:

(f) Consumed Tokens (where Digital Content has been generated) are non-refundable;
(g) Unused Tokens may be refundable during the Cooling-Off Period subject to the Immediate Performance Request framework; and
(h) Refund = Amount Paid minus (pro-rata Subscription value used) minus (Token Value × Tokens consumed), minimum £0.00.

9.2 Voluntary refunds

Outside cooling-off, Adema is not obliged to refund unused Tokens. Adema may offer goodwill credits in cases of:

(i) proven system malfunction (verified via Token Ledger);
(j) significant service degradation attributable to Adema; or
(k) other exceptional circumstances.

9.3 Subscription cancellation

Unused bundled Tokens from the current billing period remain usable until the end of that period (or account closure). They are not refunded in cash.

9.4 Promotional Tokens

Promotional Tokens are never refundable in cash.

10. Token Forfeiture

10.1. Paid Tokens may only be forfeited in the following circumstances:

10.2. Promotional Tokens may also be forfeited upon: (a) expiry of their validity period; or (b) any trigger in clause 10.1.

10.3. All forfeitures are recorded in the Token Ledger with reason and date.

10.4. Nothing overrides mandatory consumer rights. Where forfeiture conflicts with mandatory law, mandatory law prevails.

11. Token Ledger

11.1. Adema maintains a Token Ledger for each account, recording:

  • all purchases and allocations (quantity, date, price, category, source);
  • all consumption events (feature, cost, timestamp, pricing snapshot);
  • FIFO consumption order applied;
  • all forfeitures (trigger, date, quantity, category);
  • all refunds, reinstatements, and goodwill credits; and
  • current balance (separated by Paid and Promotional categories).

11.2. Users may view a balance summary and recent history within the Platform at any time.

11.3. Upon reasonable written request, Adema will provide a detailed export (up to 24 months) within 14 days. Order Form customers may access longer periods as specified.

11.4. The Token Ledger is the authoritative record for dispute resolution (clause 12).

12. Token Disputes

12.1 Reporting

Notify support@adema.ai within 30 days of the relevant deduction (unless mandatory law requires longer).

12.2 Information required

Provide: (a) account email; (b) job/report ID or transaction reference; (c) date and approximate time; (d) description of issue.

12.3 Investigation

Adema investigates using the Token Ledger and internal logs. Acknowledgment within 5 business days; substantive response within 14 days.

12.4 Resolution

If an error is confirmed:

(l) Tokens reinstated to the User's account; or
(m) cash refund of the Token Value (where legally required).

If no error is confirmed, a written explanation with Token Ledger data is provided.

12.5 Escalation

Escalate via the complaints process in ToS clause 14.10. Consumer ADR rights are not affected.

13. Anti-Abuse

13.1. Where usage patterns indicate systematic exploitation of Token mechanics, refund mechanisms, cooling-off rights, promotional offers, or pricing errors, Adema may:

(n) suspend the account pending investigation (maximum 14 days);
(o) withhold refund processing pending investigation;
(p) revoke Promotional Tokens obtained through abuse;
(q) adjust balances to correct pricing errors (with written notice); and/or
(r) terminate the account in accordance with ToS clause 10.

13.2. Examples: multiple accounts to exploit promotions; automated bulk consumption; exploitation of pricing errors after notification; systematic chargeback patterns.

13.3. This clause does not limit mandatory consumer rights.

14. Changes to This Schedule

14.1. Adema may update this Schedule on 30 days' written notice (email and/or in-Platform notification).

14.2. Material changes (to expiry rules, forfeiture triggers, or FIFO logic) will be highlighted in the notice.

14.3. Continued use after the effective date constitutes acceptance. If you do not agree, you may terminate your account before the effective date with unused Paid Tokens refunded where legally required.

14.4. The 10-year protection in clause 5.2 cannot be retrospectively reduced for Tokens already purchased.

15. Governing Law

This Schedule is governed by the laws of England and Wales and is subject to the jurisdiction provisions in the Terms of Service.
